By accessing or using the Korala.ai service ("Service") operated by Korala LLC ("Korala," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Korala provides a document signing platform that enables users to create, send, and sign documents electronically. Our service includes document management, electronic signatures with cryptographic validation, RFC 3161 timestamping, and related features.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities under your account
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Send fraudulent documents or forge signatures
- Harass, abuse, or harm others
5. Electronic Signatures
By using our electronic signature features, you acknowledge that:
- Electronic signatures created through our Service are legally binding under applicable electronic signature laws (including ESIGN and UETA in the United States)
- You consent to conduct transactions electronically
- You are responsible for ensuring all signers have the authority to sign documents on behalf of themselves or their organizations
6. Intellectual Property
The Service and its original content, features, and functionality are owned by Korala LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of documents you upload to the Service.
7. Payment Terms
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Your continued use after price changes constitutes acceptance.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORALA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
10. Indemnification
You agree to indemnify and hold harmless Korala LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may cancel your account at any time through the dashboard or by contacting us.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Wyoming.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or through the Service. Your continued use after changes constitutes acceptance of the updated Terms.
